About Nether Shadow
Nether Shadow, Creature — spirit, designed by Christopher Rush first released in Aug, 1993 in the set Limited Edition Alpha and was printed exactly in 16 different ways. It's currently being selled by the minimum price of A$ 2.57.
A deck that focuses on self-milling and graveyard recursion would benefit from using Nether Shadow, as it can be a recurring threat that can quickly come back onto the battlefield. However, there are potentially better cards like Bloodghast or Gravecrawler that offer similar effects with more flexibility and power level in formats like Modern or Legacy. Whether Nether Shadow should see play ultimately depends on the specific strategy and synergy of the deck it's being considered for.

Say you’re the owner of both a permanent and an Aura that’s attached to it. If both the permanent and the Aura are destroyed at the same time (by Akroma’s Vengeance, for example), you decide the order they’re put into your graveyard. If just the enchanted permanent is destroyed, it’s put into your graveyard first. Then, after state-based actions are checked, the Aura (which is no longer attached to anything) is put into your graveyard on top of it.

Note that bringing the Shadow back onto the battlefield from the graveyard is not a spell, it is an ability. It can’t be countered with something that counters spells.
